The Office of Competition and Consumer Protection received an application concerning the acquisition by Société des Produits Nestlé SA with its registered office in Vevey, Switzerland of part of the assets of Solgar Polska Sp. z o. o. with its registered office in Warsaw, covering the entire distribution activity of that company in Poland.
Solgar Supplement Distribution Moves to Switzerland
The transaction includes only the acquisition of Solgar Polska's assets (there will be no acquisition of control over the company through the acquisition of its shares).
SPN is a joint-stock company under Swiss law. SPN is the main sub-holding company and the intellectual property asset manager within the Nestlé Group. The core business of SPN is to hold shares in Group companies both in Switzerland and abroad, to hold and manage intellectual property rights, to act as a management company and, together with its subsidiaries, to manufacture and sell food and beverage products offered by the Nestlé Group.
Solgar Polska conducts distribution activities in Poland in the sale of dietary supplements sold under the Solgar brand, owned by the Nestlé Group.
The Solgar brand joined the Nestlé Health Science product portfolio in 2023. The brand was founded in 1947 and is now present in over 50 countries around the world. Solgar's offering includes vitamins, minerals and supplements with botanicals – all created based on scientific research, unique ingredients and strictly controlled production processes.
