Co-owner and president of DNS Dmitry Alekseev published a long post in which he expressed his attitude to the deal to merge Wildberries and Russ. He began by saying that he did not see a clear benefit for WB from this deal: “ The merger of WB and the Russ Group was announced, and over the past month it is completely unclear what the Russ Group can contribute to this merger. Advertising surfaces? If WB needed them, then for a billion rubles they could cover the entire country with outdoor advertising. True, it is completely unclear why. I don't even have the remotest idea what a merger could do for WB's business ."
Further, Alekseev points out that 27 Wildberries subsidiaries responsible for logistics and development will move to RVB LLC. This is “the core of WB’s business,” says the head of DNS. “ In fact, if we renew contracts with WB’s counterparties (and what will prevent this?), then the entire business will be transferred to RVB LLC. Wildberries LLC will only have the rights to trademarks and the website, but this can also be quickly re-registered, and we do not know whether this process has been started ,” continues Alekseev.
The authorized capital of RVB LLC is 20 million rubles, of which Russ contributed 7 million rubles. At the same time, the balance sheet of Stinn LLC only includes loans for which advertising surfaces were purchased. “ Now comes the interesting part. If all this happens, or rather what remains will happen. Then Tatyana Bakalchuk will not only give away 35% of the 10 billion dollar (in $!) business for 7 million rubles, but may even lose control over WB. The fact is that the director of RVB LLC is now Robert Mirzoyan from Russ and it is registered at the legal address of the Russ Group (documentation is stored there). Have you noticed that Russ’s share in RVB LLC is exactly 35%, and this is 1.7% more than 1/3. These are strong positions in corporate wars and it will be difficult to displace Robert Mirzoyan ,” sums up Dmitry Alekseev.
